1. Acceptance of these Terms

By creating an account, starting a free trial, or otherwise accessing or using DigitalShop (“the Platform”, “Service”, “we”, “us”), you (“Merchant”, “you”) agree to be bound by these Terms and by our Privacy Policy and Refund & Cancellation Policy. If you do not agree, you must not use the Service.

2. About the Service and operating entity

DigitalShop is a multi-tenant e-commerce platform that lets Indian merchants create and operate online stores, accept payments, manage orders, arrange shipping and generate GST-compliant invoices. The Platform is operated as a joint venture of two companies: UnfoldCRO, which provides the technical and product engineering, and ICraftAds, which provides financial and management support. References to “DigitalShop” in these Terms mean this joint venture acting together.

3. Eligibility and accounts

• You must be at least 18 years old and able to enter into a legally binding contract under Indian law.
• You must register a business and provide accurate, current and complete information, including any GST/PAN details required.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• You must notify us promptly of any unauthorised use of your account.

4. Subscription and billing

• Plan: The Service is offered on a subscription basis at ₹599 per month, plus optional add-ons selected by you. GST is charged extra at the applicable rate.
• Free trial: New merchants may receive a 14-day free trial. Unless you cancel before the trial ends, your subscription will begin and billing will commence.
• Auto-debit: Subscription and add-on charges are billed on a recurring basis via Razorpay using an e-mandate (auto-debit) that you authorise. By subscribing, you authorise us and our payment partner to charge your selected payment method on each billing cycle until you cancel.
• Taxes and invoices: Prices are exclusive of GST unless stated otherwise. A GST-compliant invoice is issued for each charge.
• Price changes: We may revise pricing or add-on fees with prior notice; changes apply from your next billing cycle.

Cancellations and refunds are governed by our Refund & Cancellation Policy.

5. Acceptable use

You agree not to use the Service to:

• Sell goods or services that are illegal under Indian law, or that violate the rights of others.
• Upload malicious code, attempt to breach security, or disrupt or overload the Platform.
• Send spam or unlawful communications, or engage in fraud, money laundering or deceptive practices.
• Infringe intellectual property, publish prohibited content, or misrepresent your products or business.
• Reverse engineer, resell or sublicense the Platform except as expressly permitted.

6. Merchant responsibilities and your customers

You are solely responsible for your store, products, pricing, descriptions, fulfilment and customer service. In particular, you must:

• Comply with the Consumer Protection Act, 2019, e-commerce rules, GST law and all other applicable regulations.
• Publish your own store policies (refunds, returns, shipping and privacy) for your customers, and honour them. DigitalShop’s policies govern the relationship between you and DigitalShop, not between you and your customers.
• Lawfully collect and handle your customers’ personal data; you are the data fiduciary for that data and we act as your processor.
• Ensure your products and claims are accurate, lawful and not misleading.

7. Intellectual property

The Platform, including its software, design, trademarks and content provided by us, is owned by the DigitalShop joint venture and its licensors and is protected by law. You receive a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain ownership of the content, products and data you upload, and you grant us a licence to host and process it solely to provide the Service.

8. Third-party services

The Service integrates third-party providers such as Razorpay (payments) and Shiprocket (shipping). Your use of those services may be subject to their own terms and policies. We are not responsible for the acts, omissions or outages of third-party providers, though we will use reasonable efforts to maintain these integrations.

9. Suspension and termination

• You may cancel your subscription at any time as described in the Refund & Cancellation Policy.
• We may suspend or terminate your account for breach of these Terms, non-payment, suspected fraud or illegal activity, or after a prolonged period of inactivity, with notice where reasonably practicable.
• On termination, your right to use the Service ends. We may delete your store data after a reasonable grace period, subject to legal retention obligations.

10. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or free of harmful components.

11. Limitation of liability

To the maximum extent permitted by applicable law, DigitalShop, UnfoldCRO and ICraftAds shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill. Our aggregate liability arising out of or relating to the Service shall not exceed the total subscription fees you paid to us in the three (3) months immediately preceding the event giving rise to the claim.

12. Indemnity

You agree to indemnify and hold harmless DigitalShop, UnfoldCRO and ICraftAds and their officers and employees from any claims, damages, liabilities and expenses arising out of your use of the Service, your products, your breach of these Terms, or your violation of any law or third-party right (including claims by your customers).

13. Governing law and jurisdiction

These Terms are governed by the laws of India. Subject to any applicable mandatory law, the courts of India shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Service.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Platform or by email, and the “Last updated” date will be revised. Continued use of the Service after changes take effect constitutes acceptance.
